Award-winning IT and telecoms staffing business E-Resourcing Limited has acquired specialist SAP consulting firm Williams McKinley Limited in a strategic deal designed to complement its growth strategy.

E-Resourcing, which was set up seven years ago, has won national recognition, including being named in the Sunday Times Fast Track 100 at 24th in 2009, and being in the Recruiter’s Fast Track 50 in 2010 and 2012 – all achieved through organic growth. The company, which specialises in the provision of contract and permanent IT and telecoms staffing services across the UK and Europe, is jointly owned and run by directors Jon Tyler, Alison Page and Kevin Thorn.

Jon Tyler said: “This is an exciting acquisition for us, and a great way to start 2012. In Williams McKinley we have a team of experienced, committed and acknowledged experts in SAP consulting which will neatly complement our portfolio of specialist divisions such as Testing and QA, Technical Architecture, Health Service and Analytics within our broad IT skills coverage.

“The acquisition of Williams McKinley will add a new area of expertise to increase our specialist delivery capability for existing and new clients, further boosting our growth.”

Epsom-based E-Resourcing was advised by Ryecroft Glenton Corporate Finance’s Director Carl Swansbury, who was given tightly defined criteria by E-Resourcing to identify a suitable acquisition opportunity.   The ideal target company had to be a specialist IT business which was looking to join forces with a larger staffing company that possessed the operational, financial and managerial experience needed to help grow the target business.

Carl Swansbury and his team researched over 40 companies, identified 12 possible businesses and recommended Williams McKinley, a successful SAP consulting firm based only a few miles from E-Resourcing’s Epsom base, as the most strategically suitable acquisition opportunity.

Despite funding being a real challenge in today’s market, Ryecroft Glenton Corporate Finance also successfully advised the shareholders of E-Resourcing, helping them secure the banking facilities needed to fund the acquisition of Williams McKinley and the continued expansion of the enlarged business.

Colin Grimshaw of Santander Corporate Banking in Gatwick, said: “We are delighted to have been able to help E-Resourcing with this acquisition. The firm’s solid businesses performance and clear suitability of Williams McKinley as a strategic acquisition opportunity meant we were able to find the best finance package for the deal and to help fund future growth. At Santander we are committed to supporting strong, successful companies – of which E-Resourcing is a great example.”

The entire transaction was completed within six months, with Ryecroft Glenton’s corporate finance team also carrying out the financial due diligence of Williams McKinley and preparing the integrated financial forecasts.   Surrey-based Morrisons Solicitors LLP recruitment team were legal advisers to E-Resourcing, headed by corporate partner Peter Savage.

Jon Tyler of E-Resourcing said: “Carl Swansbury and the team from Ryecroft Glenton Corporate Finance were a hugely important part of our M&A team. Carl’s experience, pace and approach were invaluable in identifying Williams McKinley and in closing the transaction.  Like us, Carl and Ryecroft Glenton Corporate Finance believe in delivering results to the highest possible standards and Carl worked with us throughout the entire transaction to ensure our objectives were achieved.”

Carl Swansbury said:  “We have identified a great business in Williams McKinley and with the focus, diligence and dynamism of all involved the deal was completed successfully, smoothly and very positively for all involved.  E-Resourcing is an ambitious company with extremely high standards, and it has achieved a great result in acquiring Williams McKinley. There are significant synergies between the two companies, and the acquisition will enable the combined group to become a stronger force in the IT and telecoms staffing markets both in the UK and Internationally.”

Peter Savage says: “It was a great pleasure to be involved in this exciting transaction especially as we have been advising E-Resourcing since their incorporation.  It is great to see them developing their business and making this acquisition is the beginning of the next phase of the business’ lifecycle.”

Williams McKinley was advised by corporate financiers Richard Shaw and Marcus Archer of Clearwater Corporate Finance.

Marcus Archer, partner at Clearwater, said: “Williams McKinley is an excellent brand in the SAP recruitment and consultancy market and is renowned for its integrity and client service. The sale to E-Resourcing enables a good exit for the founding shareholders and enables the company to continue to grow its impressive client base by benefiting from additional resources within the E-Resourcing group.”

“The acquisition will enable Williams McKinley and E-Resourcing to join forces and benefit from synergies and shared values that should see the enlarged group have an increasing impact in the field of IT, telecoms and SAP staffing markets.”
